(\u201c<strong>Fireweed<\/strong>\u201d or the \u201c<strong>Company<\/strong>\u201d) (TSXV: FWZ) is pleased to announce closing of the non-brokered private placement (the \u201c<strong>Offering<\/strong>\u201d) announced January&nbsp;18, 2019 for total gross proceeds of CAD$5,013,992. The private placement includes a lead order by strategic investor Teck Resources Limited (\u201c<strong>Teck<\/strong>\u201d) and an order from the Company\u2019s largest shareholder, RCF Opportunities Fund L.P. (\u201c<strong>RCF Opportunities<\/strong>\u201d).<\/p>\n\n\n\n<p>&nbsp;<\/p>\n\n\n\n<p><strong>Highlights<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li is=\"qowt-word-para\">Teck\u2019s participation in the Offering has increased their interest in the Company to 9.9%<\/li><li is=\"qowt-word-para\">RCF Opportunities, the Company\u2019s largest shareholder, participated for 750,000 shares to maintain their 13% interest in the Company<\/li><li is=\"qowt-word-para\">All Directors personally participated for a total of $150,817.25 in the financing to add to their holdings<\/li><li is=\"qowt-word-para\">The $5 million offering will provide Fireweed with capital to fund a 2019 work program focused on exploration and resource expansion<\/li><\/ul>\n\n\n\n<p>Fireweed CEO Brandon Macdonald stated, \u201cTeck\u2019s participation in this financing is a strong independent vote of confidence in the project and Fireweed management from one of the world\u2019s preeminent zinc miners. Participation by our largest shareholder, RCF Opportunities, is another strong vote of confidence from a major fund specialized in mining. We made significant progress on Macmillan Pass in 2018 and this new financing will help make 2019 another great year for the Company.\u201d<\/p>\n\n\n\n<p>&nbsp;<\/p>\n\n\n\n<p>The Offering consisted of a total of 2,379,750 common shares of the Company at a price of CAD$0.80 per share (\u201cCommon Shares\u201d), 1,820,728 flow-through common shares of the Company at a price of $0.95 per share (\u201cFlow-Through Shares\u201d), and 1,255,000 flow-through common shares of the Company at a price of $1.10 per share through a donation arrangement (\u201cCharity Flow-Through Shares\u201d) for total gross proceeds of $5,013,992. Teck purchased 2,187,500 Common Shares of the Company for an investment of $1,750,000. RCF Opportunities Fund L.P. purchased 750,000 Shares of the Company for an investment of $600,000. Insiders purchased 185,005 Shares for gross proceeds of $150,817.25. Finders fees were paid to three arm\u2019s length agents: Haywood Securities Inc, $24,838.50 and 30,930 agent\u2019s warrants; Mackie-Research Capital Corporation, $3562.50 and 3,750 agent\u2019s warrants; and 6132987 Canada Inc, $7,836.00. All agent\u2019s warrants are exercisable to acquire common shares of the Company at an exercise price of $0.95 per share until February 15, 2021.<\/p>\n\n\n\n<p>&nbsp;<\/p>\n\n\n\n<p>The proceeds from the Offering will be used for exploration and development of the Company\u2019s&nbsp;Macmillan Pass Project in Yukon, Canada, and for general working capital purposes. The gross proceeds from the issuance of all Flow-Through Shares will be used to incur Canadian Exploration Expenses (\u201cCEE\u201d), and will qualify as \u201cflow-through mining expenditures\u201d under the Income Tax Act (Canada), which will be renounced to the purchasers of Flow-Through Shares with an effective date no later than December 31, 2019 in an aggregate amount no less than the proceeds raised from the issue of the Flow-Through Shares.
